Please read these Terms of Service carefully before using the ClearPath Pro platform. These terms constitute a legally binding agreement between you and ClearPath Pro.

1. Acceptance of Terms

By creating an account or using the ClearPath Pro platform, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the platform. These terms apply to all users of ClearPath Pro, including compliance managers, business users, and any other individuals accessing the platform.

2. Description of Service

ClearPath Pro is a compliance management platform that helps gaming industry professionals organize and track the documentation required for gaming license applications across multiple US jurisdictions. The platform provides: • Jurisdiction-specific document checklists based on state gaming commission requirements • Application progress tracking • Document organization and status management • Administrative tools for compliance teams • AI-powered compliance guidance via our support chat feature ClearPath Pro is a compliance organization tool, not a law firm. Nothing on the platform constitutes legal advice.

3. Not Legal Advice

THE INFORMATION AND TOOLS PROVIDED BY CLEARPATH PRO ARE FOR INFORMATIONAL AND ORGANIZATIONAL PURPOSES ONLY. THEY DO NOT CONSTITUTE LEGAL ADVICE. Regulatory requirements for gaming licenses are complex, state-specific, and subject to change. While we strive to keep our requirement data current and accurate, we cannot guarantee that the information in the platform reflects the most recent regulatory changes. You should consult a licensed attorney with gaming law expertise before making filing decisions. ClearPath Pro is not responsible for regulatory errors or omissions, rejected applications, or consequences arising from reliance on platform data.

4. Account Registration

To use ClearPath Pro, you must create an account with a valid email address and password. You are responsible for: • Maintaining the confidentiality of your account credentials • All activity that occurs under your account • Notifying us immediately if you suspect unauthorized access You must be at least 18 years old and authorized to enter into legally binding agreements on behalf of your organization to use the platform. Business accounts may have multiple user roles (Super Admin, Compliance Manager, IT Admin, Support Agent). The account owner is responsible for managing role assignments and ensuring all users comply with these terms.

5. Acceptable Use

You agree to use ClearPath Pro only for lawful purposes. You may not: • Upload, submit, or transmit fraudulent, misleading, or inaccurate information • Attempt to gain unauthorized access to other users' data or platform systems • Use the platform to facilitate any illegal activity, including money laundering or fraud • Reverse engineer, decompile, or attempt to extract source code from the platform • Use automated scripts or bots to scrape, crawl, or abuse the platform's APIs • Resell or sublicense access to the platform without our written consent

6. Data and Content

You retain ownership of all data you input into ClearPath Pro, including company information, principal data, and documents you upload. By using the platform, you grant ClearPath Pro a limited license to process and store your data for the purpose of providing the service. You are responsible for ensuring you have the right to upload and share any documents or information you provide, including personal information belonging to your company's principals.

7. AI-Powered Features

ClearPath Pro includes AI-powered features, including our compliance support chat. These features are powered by third-party AI services (Anthropic's Claude API). AI-generated responses are intended to be helpful and informative but may not be perfectly accurate in all cases. You should verify important compliance information with authoritative sources (state gaming commission websites and your legal counsel) before acting on AI-generated guidance. Your use of AI features is subject to Anthropic's usage policies in addition to these terms.

8. Payment and Subscription

Paid subscription plans are offered for access to premium features. Subscription terms, pricing, and included features are described on our pricing page. Subscriptions renew automatically unless cancelled before the renewal date. You may cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds for partial periods. All fees are non-refundable except where required by applicable law or at our sole discretion.

9. Service Availability

We strive to maintain platform availability but do not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible. We reserve the right to modify, suspend, or discontinue any part of the platform at any time. We will provide reasonable notice of material changes that affect your use of the service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLEARPATH PRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOST REVENUE, LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OF LIABILITY — IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

11. Termination

We reserve the right to suspend or terminate your account at any time for violation of these terms, non-payment, or any other reason at our discretion, with or without notice. You may close your account at any time by contacting hello@clearpathpro.io. Upon termination, your access to the platform will cease and your data will be handled according to our Privacy Policy.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes by email at least 14 days before they take effect. Your continued use of the platform after the effective date constitutes your acceptance of the updated terms.

13. Governing Law

These terms are governed by the laws of the State of Nevada, without regard to its conflict of law provisions. Any disputes arising from these terms or your use of the platform shall be resolved in the state or federal courts located in Clark County, Nevada.
